Terms of Service

Last updated 1 August 2026

DRAFT — not yet reviewed by counsel. The factual sections describe how the software actually behaves. Sections marked below are not written and are not binding on anyone.

What Numarico is

Bookkeeping software for resellers. You import your own sales files and it produces a profit and loss from them. It does not file anything with any tax authority on your behalf, and it is not an accountant.

Your account

One account signs in by email link. An account belongs to one business. You are responsible for who can read the mailbox that receives the link.

Billing

A monthly subscription, charged in US dollars by Stripe. Your card issuer sets its own conversion rate if you are billed in another currency; we never convert prices in our own code.

What the price lock means

The early-bird price is a separate Stripe price, not a discount applied to the standard one. While your subscription stays open you continue to be charged that price. Cancelling ends it — the seat returns to the pool and the price is not held for you.

Acceptable use

To be written by counsel.

You may use Numarico only for your own resale bookkeeping and only lawfully. You agree not to: resell, sublicense, or share access to your account; attempt to reverse-engineer, scrape, or overload the service; upload data you have no right to use; or try to defeat the confidence labels, fee provenance, or usage limits that keep the numbers honest. One subscription covers one seller's business. We may suspend accounts that break these rules, and we'll tell you why.

Liability and warranties

To be written by counsel.

Numarico is bookkeeping and estimation software — it is not tax, accounting, financial, or legal advice, and it is not a substitute for your accountant (tu contador). Fee rates and tax rates come from the sources shown next to each number and can change without notice; figures we compute for you are labelled Estimated, your Setting, or Actual, and you are responsible for verifying any figure before you rely on it for a filing, a price, or a business decision. The service is provided 'as is' and 'as available', without warranties of any kind to the fullest extent the law allows. To the extent permitted by law, Numarico's total liability for any claim is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, or consequential damages, lost profits, or tax penalties. Nothing here limits liability that cannot be limited by law, including the statutory rights of consumers (see the Refunds page and the Mexico section below).

Governing law and disputes

To be written by counsel.

These Terms are governed by the laws of ⟦JURISDICTION — e.g. the State of Delaware, USA / the United Mexican States⟧, without regard to conflict-of-laws rules, and the courts of ⟦VENUE⟧ have jurisdiction — except that consumers keep any right to bring a claim in their own place of residence and under their own mandatory consumer law where that cannot be waived. Nothing in this clause removes a Mexican consumer's right to seek Profeco's intervention (see below).

Mexico — Profeco requirements

To be written by counsel.

For consumers in Mexico, this agreement is subject to the Ley Federal de Protección al Consumidor (LFPC). Mexican consumers keep all rights that law grants and cannot waive them by accepting these Terms; the Procuraduría Federal del Consumidor (Profeco) is competent for consumer disputes. ⟦Counsel to confirm: whether this adhesion contract must be registered with Profeco; the arbitration-clause wording Profeco requires; CFDI (electronic invoice) obligations for Mexican subscribers; and the mandatory pre-contract disclosures.⟧
